AFFILIATE PROGRAM AGREEMENT

Subject: Terms of Commission, Tier Advancement, and Professional Conduct

Welcome to US Water Systems Inc. By clicking "Sign Up," "I Agree," or by otherwise participating in our Affiliate Program (the "Program"), you agree to be bound by the following Terms and Conditions. If you do not agree to these terms in their entirety, you are not authorized to register as an Affiliate or participate in the Program.



1. Registration and Approval

We reserve the right to approve or reject any Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your application.

2. Commission Structure and Tier Advancement

The Program operates on a performance-based tier system. Payouts are made exclusively via PayPal.

  • Automatic Upgrade: Affiliates transition to the Platinum Tier automatically upon reaching $20,000 USD in cumulative sales.

  • Commercial Exclusion: This program is strictly limited to residential lines. Commercial-grade products do not earn commissions.

3. Payment Terms and Fraud Prevention

  • Verification Hold: All commissions are subject to a 45-day hold prior to disbursement to account for returns, cancellations, or chargebacks.

  • Successful Transactions: Commissions are only paid on successfully completed transactions. Cancelled orders or refunded items will result in the forfeiture of the associated commission.

  • Fair Use: We reserve the right to review every referral order to ensure compliance with our anti-fraud policies.

4. Affiliate Links, Cookies, and Coupons

  • Tracking: We use cookies to track referrals. Tracking begins when a customer clicks your link. If a customer clears their cookies or does not allow them, the referral cannot be tracked or credited.

  • Attribution: We follow a "last-click" attribution model.

  • Automatic Discount: Your link provides an automatic 5% discount to customers. This is a standalone offer and cannot be combined with other promotions, online or by phone.

  • Coupon Sites: "Coupon," "deal," or "pro-deal" websites are strictly prohibited from the Program.

5. Professional Eligibility

This program is for independent content creators only. Licensed professionals (e.g., Plumbing, HVAC, or General Contractors) are ineligible for this Program. Professionals must apply via the US Water Systems Contractor Program.

6. Conduct and Product Representations

  • Accuracy: You must represent products exactly as described in official US Water Systems marketing materials.

  • Prohibited Claims: You are strictly prohibited from making false or unsubstantiated claims regarding product performance, health benefits, or contaminant removal.

  • Medical Disclaimer: Do not characterize products as medical devices or claim they cure or prevent any disease.

  • FTC Compliance: You must clearly and conspicuously disclose your affiliate relationship in all promotional content.

7. Confidentiality

You may gain access to non-public proprietary information (e.g., internal sales data). You agree to keep this information confidential for the duration of your participation and for three (3) years following termination.

8. Termination

  • Convenience: Either party may terminate this agreement at any time with written notice.

  • For Cause: We may terminate your account immediately for breaches of this agreement, fraudulent activity, or if you are found to be a licensed contractor.

  • Effect: Upon termination, you must cease using all referral links. Final payouts will follow the standard 45-day hold.

9. Legal Declarations

  • Independent Contractor: Participation does not create a partnership or employment relationship. You have no authority to bind the Company to any legal obligations.

  • Governing Law: This Agreement is governed by the laws of the State of Indiana.



Acknowledgment: By completing the registration process and participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through Affiliates@uswatersystems.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
